How do I get my startup off the ground? I’ve been working on it for 10 years.

QUESTION:

I’ve been working on an e-commerce idea for almost ten years, and we finally started the web devolopment in India.  I have thought of every aspect, bought research reports, and conducted numerous surveys on the validity of this concept.  I have a clear vision of how it should work.  I understand what market segment we will service.  I know the market cap of this industry exceeds $20 billion annually.   My problem is the leg work.  How do I begin the actual implementation of this big, complex undertaking?  I am still trying to organize a million thoughts and possibilities.  There are so many directions I can go.  It’s a big challenge for me, and I need guidance on what to do first.   If you can help me with a step-by-step plan, that would be great.

Do I need product liability protection insurance?

QUESTION:

If I am planning on starting a company under the liability protection of a LLC or a corporation, do I really need product liability insurance initially to get my product off the ground? I don’t care if my company is small and gets sued and I feel there is always time to purchase insurance when there is a tangible company to protect. Am I leaving myself open for liability or am I fully protected by the LLC/Corp structure.

What is shadow stock and how does it work?

QUESTION:

I run a design firm, and I don’t want to go to all the trouble of giving out stock options to my employees and contractors.  I’ve heard people talking about “shadow” stock, where you promise to give people working for you a bonus equal to a percentage of the sale price of your company if it is acquired while they are still employed.  Is this what shadow stock is all about?  Can shadow stock be as simple as a bonus agreement tied to the milestone of selling the company within a given time period?

Should I buy out my competitor’s store?

QUESTION:

My partner and I recently started up a retail store. Within a two mile radius, we have two competitors who have been in the area for over 15 years. We have had great success so far in the first seven months. Recently, we heard that one of our competitors is trying to sell his business. We have no doubt taken much of his business. My question is whether we should buy him out to shutdown his store and gain his customers? Or, should we just wait for him to go out of business? There is always a chance that someone may actually buy him out and ramp up his store to become more of a competitor for us. We have seen his financials, and he is showing growth from last year’s numbers, which we find very hard to believe considering we are doing close to the exact same revenue. He is in poor health and wants to retire ASAP.
